Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Baseline mobile application (the "App") and the website located at resetBaseline.com (the "Site," and together with the App, the "Service"), provided by Baseline ("Baseline," "we," "us," or "our").

Please read these Terms carefully. By creating an account, joining our waitlist, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

2. The Service

Baseline is a behavioral operating system designed to help you protect your attention, set and follow through on commitments, and reflect on your progress. Features may include daily anchors, focus sessions, nightly check-ins, an AI-assisted coach, an attention "Gate," streaks, reminders, and related tools. We may add, change, or remove features at any time.

The Service is a self-help and productivity tool. It is not a medical device and does not provide medical, psychological, therapeutic, financial, or other professional advice. See Section 8.

3. Accounts

To use most features, you must create an account. You may register using an email address and password or through Apple Sign-In. You are responsible for:

• Providing accurate account information and keeping it up to date;
• Maintaining the confidentiality of your login credentials; and
• All activity that occurs under your account.

Notify us promptly at hello@resetbaseline.com if you suspect any unauthorized use of your account. We are not liable for losses arising from unauthorized use of your account.

4. Subscriptions, Billing, and Trials

4.1 Paid service

Baseline is a paid subscription service. The Service does not offer a free tier, and an active paid subscription is required to access and use its features. You may be offered a limited free trial before your subscription begins; if you do not subscribe, your access to the Service will not continue after any trial ends.

4.2 Plans and pricing

We currently offer the following subscription plans, priced in U.S. dollars:

• Monthly: US$9.99 per month
• Annual: US$59.99 per year
• Student Monthly: US$4.99 per month
• Student Annual: US$39.99 per year

Student pricing is available only to eligible students and may require verification of eligibility. We reserve the right to verify eligibility and to adjust or revoke student pricing if eligibility cannot be confirmed. Prices may vary by region and are subject to the terms in Section 4.5. The current plans and prices will be presented to you at the point of purchase.

4.3 Purchases through Apple

Subscriptions purchased through the App are processed by Apple through your Apple App Store account and are subject to Apple's terms in addition to these Terms. When you purchase an auto-renewing subscription:

• Payment is charged to your Apple App Store account at confirmation of purchase;
• Your subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period;
• Your account is charged for renewal within 24 hours prior to the end of the current period;
• You can manage or cancel your subscription, and turn off auto-renewal, in your Apple App Store account settings; and
• If a free trial is offered, any unused portion of the trial period is forfeited when you purchase a subscription, where applicable.

4.4 Refunds

Purchases made through Apple are subject to Apple's refund policies. We do not directly process payments or issue refunds for App Store purchases.

4.5 Changes to pricing

We may change subscription pricing and the features included in any plan. We will provide notice of material changes as required by applicable law and by the applicable app store. Price changes will not apply retroactively to a period already paid for.

5. License and Acceptable Use

5.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

5.2 Restrictions

You agree that you will not, and will not attempt to:

• Use the Service for any unlawful, harmful, or fraudulent purpose;
• Copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works from the Service, except as permitted by law;
• Circumvent, disable, or interfere with security features or usage or access limits;
• Access the Service through automated means (such as bots or scrapers) except as expressly permitted;
• Upload or transmit malicious code, or otherwise disrupt the integrity or performance of the Service;
• Use another user's account or share your account with others; or
• Use the Service in any manner that infringes the rights of others.

We may suspend or terminate access for conduct that violates these Terms.

6. User Content

6.1 Your content

The Service allows you to create and store content, including goals, anchors, reflections, coaching messages, messages to your future self, and support requests ("User Content"). You retain ownership of your User Content.

6.2 License to us

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely as necessary to operate, provide, secure, and improve the Service for you, and to process it through the service providers described in our Privacy Policy. This license ends when you delete your User Content or your account, except for content that has been shared with others or that we must retain to comply with legal obligations.

6.3 Your responsibility

You are solely responsible for your User Content and represent that you have the rights necessary to submit it and that it does not violate any law or the rights of any third party.

7. AI-Assisted Features

The Service includes features powered by third-party artificial-intelligence models, including an AI coach and the attention "Gate." When you use these features, the content you submit is processed by our AI provider to generate responses, as described in our Privacy Policy.

AI-generated output may be inaccurate, incomplete, or unsuitable for your particular circumstances. It is generated automatically and does not represent professional advice or the views of Baseline. You are responsible for evaluating the output and any decisions you make based on it. Do not submit sensitive personal information to these features.

8. No Professional Advice; Health Disclaimer

The Service is intended for general self-improvement, productivity, and informational purposes only. It does not provide, and is not a substitute for, professional medical, mental-health, psychological, financial, legal, or other advice, diagnosis, or treatment. Always seek the advice of a qualified professional with any questions you may have regarding a medical or mental-health condition. Never disregard professional advice or delay seeking it because of something you read or received through the Service. If you are experiencing a crisis or emergency, contact your local emergency services or a qualified professional immediately.

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content (excluding User Content), is owned by Baseline or its licensors and is protected by intellectual-property laws. Except for the license expressly granted in these Terms, we reserve all rights in and to the Service. "Baseline" and our logos are our trademarks and may not be used without our prior written permission.

10. Third-Party Services

The Service relies on and may interoperate with third-party services, including Apple. Your use of those services may be governed by separate terms and policies. We are not responsible for third-party services, and your use of them is at your own risk.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required to do so by law, or if we discontinue the Service. Upon termination, the licenses granted to you will end, and provisions of these Terms that by their nature should survive will survive, including Sections 6.2, 8, 9, 12, 13, and 14.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any results or outcomes will be achieved. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will Baseline or its founders, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) fifty U.S. dollars (US$50). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Baseline and its founders, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or any law or third-party right.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to applicable law, you agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any rights you may have that cannot be waived under applicable law.

16. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice through the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

17. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Baseline regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
